Terms of Service

Effective April 29, 2026

These Terms govern your use of ReSkill (“the Service”), operated by Agentic Intelligence Systems, Inc., a Delaware corporation (“we”, “us”). By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and able to form a binding contract in your jurisdiction. If you use the Service on behalf of an employer or organization, you represent that you have authority to bind that organization to these Terms.

2. Your account

  • Provide accurate information and keep it current.
  • You are responsible for activity under your account; keep your credentials secure.
  • One person per account. Do not share login credentials.
  • Notify us at hello@tryreskill.com if you suspect unauthorized use.

3. The Service

ReSkill is an AI coaching application that helps professionals integrate AI tools into their work. The Service uses large language models (LLMs) and other AI systems to generate responses, recommend opportunities, and track learning progress. Features may change over time. We may add, modify, or remove functionality without notice.

4. AI output — important disclaimer

The Service generates output using AI models that can produce inaccurate, incomplete, or misleading information (“hallucinations”). AI output is not professional advice. Do not rely on it for legal, medical, financial, safety-critical, or other decisions where accuracy matters. Verify anything important before acting on it. You are solely responsible for how you use AI output and for any consequences that result.

5. Your content

“Your Content” means messages, prompts, files, and other material you submit to the Service. You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you. We will not sell Your Content or use it to train third-party foundation models. Where AI providers offer a training opt-out, we use it.

6. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Submit content that is unlawful, harassing, defamatory, or infringing.
  • Attempt to extract model weights, scrape the Service at scale, or reverse engineer beyond what applicable law permits.
  • Probe, scan, or test the vulnerability of the Service without written permission.
  • Use the Service to build a competing product or to generate training data for a competing model.
  • Bypass usage limits, rate limits, or access controls.
  • Submit other people’s personal data without a lawful basis.
  • Attempt prompt injection, jailbreaks, or other techniques to circumvent safety measures, system instructions, or content policies of the underlying AI models.
  • Generate content that is intended to deceive, defraud, impersonate, or produce CSAM, weapons-of-mass-destruction instructions, or other content prohibited by our AI providers’ policies.

We may filter, refuse, or remove output and may suspend accounts for acceptable-use violations.

6a. Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or attribution to you. You waive any claims that we owe you compensation for feedback.

7. Subscriptions and billing

  • You must be at least 18 years old to purchase a paid plan.
  • Paid plans are billed in advance through Stripe at the price shown at checkout. Taxes may apply.
  • Subscriptions auto-renew at the end of each billing period until you cancel.
  • Cancel any time from your account; access continues until the end of the paid period.
  • Fees are non-refundable except where required by law or stated otherwise in writing.
  • We may change prices on at least 14 days’ notice; changes take effect at your next renewal.

8. Free and beta features

Some features are offered free, in beta, or as a preview. They are provided “as is”, may be discontinued at any time, and may have stricter usage limits or stability characteristics than paid features.

9. Termination

You may delete your account at any time by emailing hello@tryreskill.com. We may suspend or terminate your access (a) immediately if you violate these Terms, if your payment fails, or if we are required to do so by law, or (b) for any other reason on at least 30 days’ notice, in which case we will refund any prepaid fees for the unused portion of your current billing period. On termination, your right to use the Service ends; sections that by their nature should survive (ownership, disclaimers, liability, indemnity, governing law, arbitration) survive termination.

10. Third-party services

The Service relies on third-party providers (including Anthropic, OpenAI, Clerk, Supabase, Vercel, Stripe, PostHog, Resend, Slack, Neo4j) listed in our Privacy Policy. Their terms and outages affect the Service. We are not responsible for third-party services beyond what these Terms explicitly cover.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE CORRECT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC INTELLIGENCE SYSTEMS, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow these limits; in those places, our liability is limited to the smallest amount permitted by law.

13. Indemnification

You will defend, indemnify, and hold Agentic Intelligence Systems, Inc. harmless from any third-party claim arising out of (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.

14. Changes to these Terms

We may update these Terms. If a change is material, we will notify account holders by email at least 14 days before it takes effect. Continued use of the Service after the effective date means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Informal resolution, arbitration, and class-action waiver

Read this section carefully — it affects your legal rights.

Informal resolution. Before filing any formal claim, you agree to first contact us at hello@tryreskill.com with a written description of the dispute and try to resolve it informally for at least 30 days.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in English, seated in Delaware (or by telephone or video where available). Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Exceptions. Either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in the state or federal courts located in Delaware for actual or threatened infringement, misappropriation, or violation of intellectual-property rights.

Class-action waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

30-day opt-out. You may opt out of this arbitration and class-waiver section by emailing hello@tryreskill.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opt-out does not affect any other section.

Severability. If the class-action waiver is held unenforceable, the entire arbitration section is void and disputes will instead proceed exclusively in the state or federal courts located in Delaware, to which you consent to personal jurisdiction.

17. Copyright concerns

If you believe content on the Service infringes your copyright, email hello@tryreskill.com with the subject line “Copyright” and include enough detail for us to identify the work and the allegedly infringing material. We will review and may remove material or terminate accounts of repeat infringers.

18. Export controls and sanctions

You represent that you (a) are not located in, and are not a national or resident of, any country subject to U.S. embargo or designated by the U.S. government as a “terrorist-supporting” country; (b) are not on any U.S. government list of prohibited or restricted parties (including OFAC’s SDN list); and (c) will not export, re-export, or transfer the Service in violation of U.S. export-control laws. The Service is subject to the export laws of the United States and the laws of the country where it is delivered or used.

19. Force majeure

Neither party is liable for failure to perform (other than payment obligations) caused by events beyond reasonable control, including acts of God, war, terrorism, riots, epidemics, government action, internet or utility outages, third-party-provider outages, or denial-of-service attacks.

20. No SLA

The Service is offered without a service-level agreement. We do not guarantee any uptime, response time, or availability target unless we agree otherwise in a separate signed writing.

21. Notices

We may send notices to you by email to the address on file, by in-app message, or by posting on the Service. Notices to us must be sent to hello@tryreskill.com. Notices are effective when sent (for email or in-app) or 24 hours after posting.

22. Miscellaneous

  • These Terms plus the Privacy Policy are the entire agreement between you and us regarding the Service.
  • If any provision is held unenforceable, the rest remains in effect.
  • Our failure to enforce a provision is not a waiver.
  • You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
